If engaged to represent a client in a sale, divestiture, or private financing, we conduct a thorough analysis of the business in question and its industry position. In so doing, we develop a close working relationship with our client and may propose certain operational changes to substantively enhance the company's value. Having represented a wide range of healthcare-related companies, we often have considerable experience with a client's line of business even before conducting any independent analysis.

Critical to the process is the preparation of our client for the transaction and its "positioning" to elicit peak interest and obtain top value.

The engagement includes the preparation of an in-depth transaction memorandum to assist potential acquirors and/or investors in analyzing the business involved. While the memorandum is prepared as a balanced, informative presentation, we are expert in presenting the business to highlight its most attractive features. With each potential acquiror, we identify synergies, areas of cost savings and strategic opportunities to optimize the possible fit of the business being offered with that of the potential acquiror.

As part of the process, we develop a carefully screened list of prospective acquirors and/or investors. The list -- a product of the firm's industry knowledge, international relationships, research capabilities and strategic judgments -- selectively identifies companies that are most likely to be interested in the proposed transaction.

The firm manages communications with potential acquirors and investors from inception, and becomes an integral part of the structuring and negotiating process. We represent and guide each client through every phase of the process, in order to achieve the best possible result with minimal disruption to our client's business. We, of course, work in tandem with our client's attorneys, accountants and other professional advisors.

All engagements are conducted with the utmost in sensitivity to the confidential, proprietary and unique requirements of the business and principals involved. Developing a relationship of trust with our clients is a priority for us.
